1. Acceptance of Terms
By engaging SellThroughX for global ad management and vendor provisioning, you agree to be bound by these Terms of Service. These terms apply to all clients, including Ecommerce Brands, 3PL Providers, and Manufacturers.
2. Scope of Services
SellThroughX provides digital infrastructure and marketing services, including:

Ad Management: Strategic scaling on platforms like Amazon, Walmart, and Target.

Account Provisioning: Setup and management of vendor/seller accounts across international regions.

Consulting: Global marketplace strategy and localized catalog synchronization.
3. Client Obligations
To ensure the success of the Global Command Center operations, clients must:

Provide valid and authorized access to all necessary retail accounts.

Ensure all product data and catalog information provided for ingestion is accurate and compliant with local laws.

Maintain active payment methods for third-party ad spend (e.g., Amazon Advertising).
4. Fees and Payments

Service Fees: Billed monthly or per project as defined in your specific Service Level Agreement (SLA).

Late Payments: We reserve the right to pause ad management and account provisioning if invoices are more than [X] days overdue.

Third-Party Costs: Clients are directly responsible for all ad spend and retail platform fees.
5. Intellectual Property
SellThroughX retains ownership of its proprietary processes, "Intelligence Feed" frameworks, and custom code used to manage global accounts. Clients retain all rights to their brand assets and product data.
6. Limitation of Liability
While we use advanced data pings and geographic validation to optimize performance, SellThroughX is not liable for fluctuations in marketplace algorithms, account suspensions issued by third-party retailers, or the performance of external logistics partners (3PLs).
7. Confidentiality
Both parties agree to keep all trade secrets, ad strategies, and vendor data strictly confidential.
